1. Acceptance of Terms

By accessing or using Subtl ("the Service"), operated by Shrimpi & Squiddy Labs, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including team members invited by account holders.

2. Description of Service

Subtl is a lexicon-governed translation platform that enables users to upload source content, build and manage translation lexicons, annotate terms, translate content using AI-assisted tools, and export translated files. The Service supports multiple file formats including subtitles (SRT, VTT), documents (DOCX, HTML, Markdown, plain text), presentations (PPTX), and ebooks (EPUB).

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. User Content

You retain all rights to the content you upload to the Service, including source files, translations, lexicon entries, and annotations ("User Content"). By uploading content, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service.

You represent that you have all necessary rights to upload and translate the content you submit. You are solely responsible for ensuring your use of the Service does not infringe on the intellectual property rights of others.

5. AI-Assisted Translation

The Service uses third-party large language model (LLM) providers to assist with translation. AI-generated translations are provided as suggestions and should be reviewed by qualified human translators. We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated translation.

By using the translation features, you acknowledge that relevant portions of your content will be transmitted to third-party LLM providers for processing. We do not send your entire lexicon or project data — only the specific content and context entries needed for each translation batch.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that infringes intellectual property rights
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to transmit malware or malicious content
  • Resell or redistribute access to the Service without authorization
  • Use automated systems to scrape or extract data from the Service

7. Teams and Collaboration

Account holders who create teams are responsible for managing team membership and access permissions. Team administrators are responsible for the activities of their team members within the Service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

9. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Shrimpi & Squiddy Labs and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

10. Limitation of Liability

To the maximum extent permitted by law, Shrimpi & Squiddy Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that translations will be error-free or suitable for any particular purpose.

12. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and, where appropriate, by email. Continued use of the Service after changes constitutes acceptance of the revised Terms.
